SmartERP Lifetime Licence Terms

Commercial terms are final. Points marked Legal review are for confirmation by Ashewa's legal counsel before contract use. The Lifetime Licence is sold through Ashewa's sales team under an order form; these terms are incorporated into that order form.
1. Licence grant
On payment of the one-time licence fee, Ashewa grants the Customer a perpetual, non-exclusive, non-transferable licence to use the SmartERP version and applications delivered at go-live, for the Customer's own business, for the company and staff band stated in the order form.
2. Price and payment
The licence fee is six times the annual Starter edition price of the Customer's industry as published on the SmartERP price list at the order date, excluding value-added tax. Multi-branch deployments carry a 50% supplement per the order form. Payment follows the milestone schedule in the order form.
3. Annual maintenance
A mandatory Annual Maintenance Contract applies from the second year at 20% of the licence fee per year. It covers minor updates and patches, regulatory patches and standard support under the Support Policy. Lapsed maintenance is reinstated on payment of 50% of the fees for the lapsed period. Major version upgrades are optional and quoted where they require migration work.
4. What is not included
Hosting (on the Customer's infrastructure, which the Customer provides and secures, or on Ashewa Cloud under a separate hosting agreement), implementation and onboarding, data migration, training, custom development, integrations, premium or dedicated support, and third-party licences are priced separately.
5. Delivery and source
Ashewa delivers deployable builds and documentation. SmartERP Community components remain under the LGPL v3. Ashewa's own modules are delivered in the form stated in the order form; source-code escrow, if required, is agreed separately. Legal review: escrow terms.
6. Restrictions
The Customer may not sublicense, resell, or use the licence for another legal entity, and may not remove Ashewa's notices. Compliance with the licensed staff band may be verified once a year on reasonable notice.
7. Term and termination
The licence is perpetual once paid and is not terminable by Ashewa for convenience. Ashewa may end maintenance and support on 90 days' notice at the end of a maintenance year. If the Customer materially breaches these terms and does not remedy within 30 days of notice, the licence may be terminated. Legal review: termination remedies under Ethiopian law.
8. Warranty and liability
Ashewa warrants that the delivered software performs materially as documented at go-live and for each update installed under active maintenance. Ashewa's aggregate liability is limited to the licence fee paid; neither party is liable for indirect or consequential loss. Legal review.
9. Governing law
The laws of the Federal Democratic Republic of Ethiopia govern these terms; the competent courts of Addis Ababa have jurisdiction. Legal review: arbitration clause and venue.
