SmartERP Customer Terms of Service
Version 1.0 (12 September 2026). Ashewa Technology Solutions S.C., Bole Reality Building, 9th floor, Addis Ababa, Ethiopia.
Commercial terms are final. Points marked Legal review are for confirmation by Ashewa's legal counsel before contract use.
1. Parties and scope
These Customer Terms of Service (the "Terms") govern the SmartERP Cloud subscription service (the "Service") provided by Ashewa Technology Solutions S.C. ("Ashewa", "we") to the organisation that creates a workspace through the SmartERP website or an order form (the "Customer", "you"). Creating a workspace, accepting these Terms at checkout, or paying an invoice constitutes acceptance. The version accepted and the date of acceptance are recorded on your order.
2. The Service
The Service is an isolated SmartERP workspace (its own database and web address) hosted and operated by Ashewa, with the applications included in the plan or industry edition you selected. Ashewa provides the infrastructure, monitoring, daily backups and standard support described in the Support Policy. You are the administrator of your workspace and responsible for the users you create, their access rights and the data you and they enter.
3. Plans, editions and limits
Per-user plans are priced per user per month; industry editions are priced per company per year for the staff band shown at purchase (Starter up to 50 staff, Enterprise up to 100, Premium up to 200). Plan user limits are enforced in the workspace. Applications are those included in your plan or edition; optional services are listed on your order.
4. Trial, fees and payment
A new workspace starts with a 14-day trial with no payment taken. To continue you pay the invoice Ashewa issues for the selected plan or edition. Prices are in Ethiopian Birr and exclude value-added tax, which is shown on the order and invoice at the statutory rate. Payment is by bank transfer to the account stated on the invoice unless another method is offered; you may submit the transfer receipt from your customer portal. Month-to-month billing carries the surcharge shown on the plan; annual commitments are invoiced in advance.
5. Term, renewal and changes
Subscriptions run for the billing period on your order and renew for the same period unless cancelled before the renewal date. Upgrades take effect immediately, pro-rated for the remaining period; downgrades take effect at the next renewal. Exceeding a plan's user limit requires an upgrade. Requests to change, extend or cancel are made from your customer portal and confirmed by Ashewa.
6. Late payment and suspension
If an invoice is unpaid after its due date we notify you and allow a grace period; after it the workspace may be suspended until payment is received. Data is not deleted on suspension. Legal review: interest or fees on late payment under Ethiopian law.
7. Termination and data return
You may cancel at any time; the subscription ends at the end of the paid period. After termination your data remains exportable from the workspace for 30 days, after which it is deleted from production systems and, on the normal backup cycle, from backups. Ashewa may terminate for material breach not remedied within 30 days of notice.
8. Your data and confidentiality
Your business data belongs to you. Ashewa accesses it only to operate, support and back up the Service, or on your request, and keeps it confidential. The Privacy Policy describes what personal data Ashewa processes and where the Service is hosted. Hosting location depends on the deployment arrangement in your order (Ashewa Cloud in Ethiopia, your own infrastructure, or an international cloud region). Legal review: data-protection obligations under applicable Ethiopian legislation.
9. Acceptable use
You agree not to use the Service for unlawful purposes, to attempt to access other customers' workspaces or Ashewa's systems beyond your workspace, to resell the Service, or to place unreasonable load on the platform.
10. Availability and support
Ashewa monitors the platform continuously and aims for uninterrupted service, with planned maintenance announced in advance. Support is provided as described in the Support Policy: critical incidents 24/7; standard support Monday to Friday, 2:00 to 11:30 Ethiopian time (08:00 to 17:30 East Africa Time). Premium and dedicated support are optional paid services. Service levels beyond this are only those written into your order form.
11. Intellectual property
SmartERP is built on modern enterprise architecture Community (LGPL v3) with Ashewa's own modules and configuration. Ashewa retains all rights in its modules, documentation and the Service; you receive a right to use the Service for the term. You retain all rights in your data.
12. Warranties and liability
Ashewa provides the Service with reasonable skill and care. Except as stated here, the Service is provided without other warranties. Ashewa's aggregate liability under these Terms is limited to the fees paid for the Service in the twelve months before the event giving rise to the claim; neither party is liable for indirect or consequential loss. Legal review: mandatory limits under Ethiopian law.
13. Changes to these Terms
Ashewa may update these Terms; material changes are notified to the workspace administrator at least 30 days before they take effect and apply from the next renewal. The version you accepted is recorded on your order.
14. Governing law and disputes
These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia. The parties will first seek to resolve disputes amicably; failing that, the competent courts of Addis Ababa have jurisdiction. Legal review: arbitration clause and venue.
